These Terms and Conditions apply to all sales of goods and services by GRP KIOSK4YOU LTD to business customers. Please read them carefully before placing an order. By placing an order, you confirm that you agree to be bound by these terms.
1. Definitions
In these Terms and Conditions:
- “Company” means GRP KIOSK4YOU LTD, registered in England and Wales under company number 15792840, whose registered office is at Imex Enterprise Park, Unit C2, Wigwam Lane, Hucknall, Nottingham, NG15 7SZ.
- “Customer” means the business entity placing an order with the Company.
- “Goods” means GRP kiosks, enclosures, and any related products supplied by the Company.
- “Order” means a written or electronic purchase order submitted by the Customer.
- “Contract” means the agreement between the Company and the Customer for the supply of Goods.
These Terms apply to B2B transactions only. The Company does not supply to consumers.
2. Orders and Contract Formation
2.1 All Orders are subject to acceptance by the Company. A Contract is formed only when the Company issues a written order confirmation or invoice.
2.2 Quotations issued by the Company are valid for 30 days from the date of issue unless otherwise stated. A quotation does not constitute a binding offer.
2.3 Any specifications, drawings, or technical documents provided alongside a quotation remain the intellectual property of the Company and must not be disclosed to third parties without prior written consent.
2.4 The Customer is responsible for ensuring that all specifications and requirements are accurately communicated at the time of Order. The Company accepts no liability for goods manufactured to incorrect specifications provided by the Customer.
3. Pricing and Payment
3.1 All prices are quoted exclusive of VAT unless otherwise stated. VAT will be charged at the applicable UK rate and shown separately on invoices.
3.2 Prices are subject to change without notice prior to Order confirmation. Once a Contract is formed, the agreed price will not change unless there is a change in specification requested by the Customer.
3.3 Payment terms are 30 days from the date of invoice unless alternative terms have been agreed in writing by an authorised representative of the Company.
3.4 For new customers or bespoke orders, the Company reserves the right to require a deposit of up to 50% prior to commencement of manufacture.
3.5 The Company reserves the right to charge statutory interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, currently at 8% above the Bank of England base rate. Debt recovery costs may also be applied.
3.6 The Company reserves the right to suspend or cancel any outstanding orders if payment is not received by the due date.
4. Delivery
4.1 Delivery dates are estimates only and are not guaranteed. Time of delivery shall not be of the essence.
4.2 Standard lead times will be confirmed at the time of Order confirmation. Lead times are subject to manufacturing capacity and material availability.
4.3 Delivery will be made to the address specified on the Order. The Customer must ensure adequate access and facilities are available for delivery. Any additional costs incurred due to failed or delayed delivery caused by the Customer will be charged accordingly.
4.4 Risk in the Goods passes to the Customer upon delivery. Title in the Goods passes only upon receipt of full payment.
4.5 The Customer must inspect all Goods upon delivery and report any damage, shortage, or discrepancy in writing within 48 hours of receipt. Failure to do so may limit the Customer’s ability to raise a claim.
5. Retention of Title
5.1 All Goods supplied by the Company remain the property of GRP KIOSK4YOU LTD until payment in full has been received.
5.2 Until title passes, the Customer shall hold the Goods as bailee and must keep them insured, identifiable, and separate from other goods.
5.3 The Company reserves the right to recover and resell Goods if payment is not received. The Customer grants the Company the right to enter its premises for this purpose.
6. Product Specifications
6.1 All Goods are manufactured to the specifications set out in the relevant product documentation. Minor variations in dimensions or finish may occur due to the nature of GRP manufacturing and do not constitute defects.
6.2 The Company reserves the right to make technical changes to products where such changes do not materially affect function or performance.
6.3 Product imagery, drawings, and descriptions on the website or in marketing materials are for illustrative purposes and may differ slightly from the finished product.
7. Warranty
7.1 The Company warrants that Goods will be free from material defects in workmanship and materials for a period of 12 months from the date of delivery, subject to correct installation, use, and maintenance.
7.2 This warranty does not cover defects arising from:
- Improper installation or use contrary to the Company’s instructions
- Modification or repair carried out without the Company’s prior written consent
- Fair wear and tear, accident, or wilful damage
- External factors beyond the Company’s control, including extreme environmental conditions
7.3 To make a warranty claim, the Customer must notify the Company in writing within the warranty period, providing adequate details and photographic evidence of the alleged defect. The Company will, at its sole discretion, repair or replace the defective goods or issue a credit.
8. Limitation of Liability
The Company’s total liability under any Contract shall not exceed the value of the relevant Order. This limitation applies to all claims, including those arising from breach of contract, negligence, or otherwise.
8.1 The Company shall not be liable for:
- Loss of revenue, profit, or business opportunity
- Loss of anticipated savings
- Loss of data or goodwill
- Any indirect, consequential, or special loss
8.2 Nothing in these Terms limits or excludes the Company’s liability for death or personal injury caused by its negligence, fraud, or any other liability that cannot be excluded by law.
9. Force Majeure
9.1 The Company shall not be in breach of Contract or liable for delay or failure to perform its obligations where such failure arises from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of government, supply chain disruption, industrial action, or failure of utilities.
9.2 The Company will notify the Customer as soon as reasonably practicable of a force majeure event. If the event continues for more than 60 days, either party may terminate the Contract with written notice.
10. Intellectual Property
All intellectual property rights in designs, technical drawings, specifications, branding, and website content remain the exclusive property of GRP KIOSK4YOU LTD. Nothing in these Terms transfers any intellectual property rights to the Customer.
11. Confidentiality
Both parties agree to keep confidential all commercial and technical information exchanged in connection with a Contract and not to disclose it to any third party without prior written consent, except where required by law.
12. Termination
12.1 Either party may terminate a Contract with immediate effect by written notice if the other party becomes insolvent, enters administration, or is subject to a winding-up order.
12.2 If the Customer cancels an Order after confirmation, the Company reserves the right to retain any deposit and charge for work completed and materials ordered to the date of cancellation.
13. Governing Law and Jurisdiction
These Terms and any Contract formed under them shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
14. General
14.1 These Terms constitute the entire agreement between the parties and supersede all prior representations, negotiations, or understandings.
14.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.
14.3 A failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
14.4 The Company reserves the right to update these Terms from time to time. The version in force at the date of Order confirmation shall apply to that Contract.
